Clayton J. Parr

Clayton Parr is the senior member of the firm, practicing in the area of natural resources law. Mr. Parr has experience in nearly all aspects of natural resources law, including mineral exploration, acquisition of mineral and related land use rights, permitting, project development, venture relationships, contracting, and government relations.
Mr. Parr has represented some of the world's largest mining and oil and gas companies, serving as lead counsel in the acquisition of a $120 million Nevada gold project; facilitating the purchase of 400 producing wells in two Utah and Montana fields; representing a major international gold firm in the acquisition of exploration properties in Indonesia, Brazil, and Chile; participating in the drafting and lobbying for geothermal legislation in Utah and in establishing the first geothermal producing unit in the state; and assisting the buyers in an acquisition of three operating coal mines in Utah.
Mr. Parr holds a Masters of Science degree in Geology and Economics from the University of Utah, and received his Juris Doctorate, with honors, in 1968 from the University of Utah College of Law, where he served as Managing Editor of the Utah Law Review. Mr. Parr practiced two years with a law firm in Anchorage, Alaska, followed by five years as corporate counsel with The Anaconda Company in Salt Lake City, Tucson and New York City. He joined Parr Waddoups in 1976.
Mr. Parr is an adjunct faculty member at the University of Utah College of Law; past President of the Rocky Mountain Mineral Law Foundation and the Utah Association of Petroleum and Mining Landmen; Past Chair of the Hard Minerals Committee of the Natural Resources Section, American Bar Association; Past Chair of the Section on Energy, Natural Resources and Environmental Law, Utah State Bar; Past Vice Chair of the Utah Energy Conservation and Development Council; a former member of the State Board of Parks and Recreation; and past Chair and currently a board member of the Coalition for Utah's Future.
Clark Waddoups

Clark Waddoups is an experienced trial lawyer who specializes in complex commercial litigation, involving antitrust, securities, labor and employment, banking, construction, environmental, insurance claims and numerous other issues.
Mr. Waddoups has represented clients in a broad range of industries, including heavy manufacturing, broadcasting, banking and finance, automotive, oil, and real estate.
Mr. Waddoups holds a Bachelors of Arts degree, cum laude, from Brigham Young University, and received his Juris Doctorate, Order of the Coif, from the University of Utah College of Law in 1973. He served as President of the Utah Law Review, and was a Judicial Clerk for the Honorable Judge J. Clifford Wallace of the United States Court of Appeals, Ninth Circuit.
Mr. Waddoups practiced for a large California law firm for seven years before joining Parr Waddoups in 1981. Mr. Waddoups is admitted to practice in California and before all state and federal courts in Utah, and is a registered lobbyist in the State of Utah. He is an active member of the Utah Supreme Court Advisory Committee on the Rules of Evidence, and past President of the A. Sherman Christensen American Inn of Court I. Mr. Waddoups is conversant in German.
David E. Gee

David Gee assists clients in achieving financial and tax benefits through structuring or restructuring ownership interests and debt in connection with asset based transactions.
A substantial portion of his practice involves acquisition, development, financing, exchange and other disposition of real estate assets, representing both owners and lenders. He often assists owners in obtaining land use and development rights and financing assistance from Utah governmental authorities including industrial revenue bond and redevelopment agency financing. Mr. Gee provides legal services in other asset based and project loan transactions, including oil and gas financing, financing of power plants and other industrial facilities and structured lending. As a significant part of his practice during economic downturns, Mr. Gee provides analysis and negotiating assistance to creditors and debtors in restructuring real estate and other asset based nonperforming loans, leases and other financing vehicles.
Mr. Gee received his Juris Doctorate, and was awarded Order of the Coif, from the University of Utah College of Law in 1973, and was Executive Editor of the Utah Law Review. Mr. Gee joined Parr Waddoups in 1975. Among other memberships, he is a member of the American College of Mortgage Attorneys. He has also served as an Adjunct Professor of Law at the University of Utah College of Law.
Mr. Gee is currently a member of the Board of Directors of Pioneer Theatre Company and a member of the Alumni Board of Trustees of the University of Utah College of Law.
Scott W. Loveless

Scott Loveless is a senior shareholder with the firm, and a member of the firm’s corporate law group. Mr. Loveless has extensive experience in the areas of mergers and acquisitions, general corporate law and real estate. He specializes in representing buyers and sellers in the sale and leveraged buyout of closely-held businesses and in structuring business transactions.
Mr. Loveless received his Juris Doctorate in 1976 and L.L.M., Taxation in 1978 from Georgetown University, where he served as Editor of the Georgetown International Law Review. From 1971-1978 he worked as legislative counsel in the United States Senate and United States House of Representatives in Washington, D.C. He practiced in Colorado before joining Parr Waddoups in 1979.
Mr. Loveless is a past member of the Board of Directors of Commercial Law Affiliates, an association of 276 law firms worldwide. He is a past member of the Board of Trustees of the Pioneer Theater Company, and is a current member of the Board of Directors and Executive Committee for the Days of 47, Inc., an annual celebration of Utah’s heritage.

Gregory Hess has a broad range of experience in commercial litigation, with an emphasis in copyright and trademark litigation. He serves as litigation counsel to one of the world’s largest computer software companies and assists a number of clients with intellectual property matters.
Mr. Hess also has experience with contract disputes, securities and shareholder rights litigation, business torts, antitrust, construction litigation, Federal Tort Claims Act and governmental immunity issues, and other matters.
Mr. Hess received his Juris Doctor degree in 1989, summa cum laude and Order of the Coif, from the J. Reuben Clark Law School, Brigham Young University, where he was Lead Articles Editor of the BYU Law Review. He served as a Law Clerk for the Honorable Charles Clark, United States Court of Appeals for the Fifth Circuit, and is admitted to practice before state and federal courts in Utah. Mr. Hess is conversant in French.
Jeffrey J. Hunt

Jeffrey Hunt practices in the area of commercial litigation, with particular emphasis in First Amendment and media law. Mr. Hunt represents a number of local newspaper, radio and television companies in the areas of defamation, privacy, news gathering, access, copyright, trademark, and related issues. He regularly represents broadcasters, publishers, and other commercial clients in state and federal courts. He also has served as local counsel for two national television networks.
Mr. Hunt earned his Bachelor of Arts degree in Journalism and Mass Communication from Iowa State University in 1983. During the four years following, he was a Copy Editor for The Des Moines Register, and a Reporter for the Quad-City Times and Deseret News. In 1990, Mr. Hunt received his Juris Doctorate from the University of Utah College of Law, Order of the Coif, where he served as Editor-in-Chief of the Utah Law Review. He was a Judicial Clerk for the Honorable David K. Winder, United States District Court for the District of Utah, and joined Parr Waddoups in 1991.
Mr. Hunt is a regular guest lecturer on First Amendment and Media Law at the University of Utah College of Law and Weber State University. In 1992, Mr. Hunt founded the Utah Freedom of Information Hotline, providing free legal assistance to Utah journalists. He is a recipient of the Roy B. Gibson Freedom of Information Award from the Utah Chapter of the Society of Professional Journalists. He is a member of the Salt Lake County Bar Association (Executive Committee), the American Bar Association’s Section of Litigation’s First Amendment and Media Litigation Committee, The Society of Professional Journalists, Investigative Reporters and Editors, and the American Inns of Court, Sutherland Inn II. Mr. Hunt is also a registered lobbyist in the State of Utah.

Carolyn McHugh has been practicing law since 1982, with a concentration in the areas of commercial litigation and environmental law. She has extensive experience with the preparation and trial of complex and basic lawsuits in state and federal courts, including appellate briefing and argument.
Ms. McHugh's commercial litigation representation includes accountant’s malpractice, antitrust, construction disputes, contracts, securities, and other commercial litigation issues. In the environmental law area, she has represented clients in matters related to CERCLA, EPCRA, RCRA, Clean Air Act, Clean Water Act, Wetlands, Underground Storage Tanks, Natural Resource Damages, and Toxic Tort litigation.
Ms. McHugh has written numerous articles on environmental issues, and serves as a Co-Chair of the American Bar Association’s Annual Conference on Environmental Law. She is past President of the Women Lawyers of Utah, and has served on the Utah State and Salt Lake County Bar Commissions.
Ms. McHugh received her Juris Doctorate from the University of Utah College of Law, Order of the Coif, in 1982. She served as an Editor of the Utah Law Review and upon graduation, worked as a judicial clerk to the Honorable Bruce S. Jenkins of the United States District Court for the District of Utah.
