    IBM AND SCO FORM STRATEGIC PARTNERSHIP TO DELIVER
            BUSINESS CRITICAL SERVER SOLUTIONS


SANTA CRUZ, CA (March 14, 1995) -- The Santa Cruz Operation,
Inc. (NASDAQ:SCOC) today announced a strategic partnership
agreement with IBM to deliver Business Critical Server
solutions. Under the new worldwide agreement, IBM will
distribute SCO Open Server software products on their
recently announced IBM PC Server line, which includes high-
end symmetric multiprocessing (SMP) hardware. The agreement
enables SCO to gain increased leverage through IBM's
worldwide presence in Fortune 2000 corporations.

The partnership expands a successful four-year relationship
in delivering Intel-based servers worldwide to organizations
of all types and sizes. During this period, the two
companies have worked together to assure compatibility
between SCO software and IBM Intel processor-
based server hardware.  The new relationship will see the
companies build joint strategic sales and marketing plans.
Business and government customers using IBM/SCO server
solutions include Eckerd Corporation Drug Stores, Kmart, The
IRS, The World Bank, and the United Kingdom's Royal Air
Force.

``SCO is recognized as one of the leaders in UNIX server
software, and the leader in UNIX Systems for Intel
processor-based computers'' said Michael R. Coleman, general
manager, IBM PC Servers. ``This alliance gives us the
ability to move beyond an engineering relationship and
deliver the UNIX-on-Intel server solutions our customers are
asking for as the UNIX market continues to grow.''

``IBM's selection of SCO as a key partner is further
confirmation of SCO's leadership in the
Business Critical Server market,'' said Alok Mohan, SCO
President and COO. ``The agreement will expand the range of
SCO Business Critical Server solutions for small to medium-
sized businesses, branch automation, and enterprise
computing.  Most significantly, it will allow SCO
to offer customers complete UNIX system server solutions,
backed by IBM's worldwide support organization.''

SCO and IBM will jointly market the solutions through an
international advertising and seminar program. The two
companies will also cross-train education and support
personnel on their respective products.
